The following will outline the terms and conditions of this Agreement that will govern the participation of a “Client” in the Building Others' Ventures (BOV) Program (“Program”)

This Agreement shall be considered effective as of the date of the submission of the “Client Consent for Publication of Business Information” Form and registration of the Client at moreventures.store

BY CHECKING THE BOX OR CLICKING THE "ACCEPT AND CONTINUE" BUTTON, AS APPLICABLE, THE CLIENT IS BOUND WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAM FOLLOWING OUR POSTING OF NOTICES RELATING TO CERTAIN CHANGES, WHICH MAY INCLUDE REVISED AGREEMENT, OR REVISED DOCUMENTS ON THE moreventures.store SITE, THE CLIENT IS IMPLIEDLY BOUND BY THIS AGREEMENT;

FURTHER, THE CLIENT, THRU ANY OF THE MEANS CITED ABOVE, ACKNOWLEDGES AND AGREES THAT IT HAS INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM, AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS EXPRESSLY SET FORTH IN THIS AGREEMENT. THAT THE CLIENT AGREES

A) TO PARTICIPATE IN THE MORE Ventures Building Others' Ventures (BOV) PROGRAM (“PROGRAM”) AS A CLIENT;

B) AGREES TO COMPLY WITH THE MORE Ventures Building Others' Ventures (BOV) PROGRAM PARTICIPATION REQUIREMENTS AND ALL PAGES, SCHEDULES, POLICIES, GUIDELINES, SPECIFICATIONS, USER MANUALS, AND SUPPORTING MATERIALS THAT IS MADE AVAILABLE, AND OTHER DOCUMENTS AND MATERIALS MENTIONED IN THIS AGREEMENT;

FURTHERMORE, THE CLIENT HEREBY REPRESENT AND WARRANT THAT HE HAS THE LEGAL CAPACITY TO ENTER INTO CONTRACTS AND WILL REMAIN IN COMPLIANCE WITH THIS AGREEMENT, INCLUDING THE MORE Ventures Building Others' Ventures Agent (BOVA) Agreement.

IN ADDITION, THE CLIENT, ITS ASSIGNS AND/OR OTHER PERSONS, NATURAL OR JURIDICAL, ACTING AND OR CONSENTING ON BEHALF OF THE COMPANY OR ANY LEGAL ENTITY, HEREBY WARRANTS THAT HE/SHE/THEY IS/ARE AUTHORIZED TO BIND THE COMPANY OR ANY LEGAL ENTITY RESPECTING THIS AGREEMENT,

INCLUDING THE FOLLOWING OTHER AGREEMENTS.
i.Client Consent for Publication of Business Information;
ii. Building Others' Ventures (BOV) Agent Agreement;
iii. moreventures.store Privacy Policy;
iv.moreventures.store Terms and Conditions of Use;
v.moreventures.store Store Policies;

A.Definition of Terms:
1. The moreventures.store Building Others’ Ventures (BOV) Program (“PROGRAM”) is a service of the Company, that can be availed and/or offered thru its websites which provides products and services for business owners, freelancers and independent contractors pertaining to tools, concepts and methods aimed at providing and/or aiding in the growth of their businesses and clientele.
2. A “Site” means a website moreventures.store refers to the websites moreventures.store, moreventures.biz, its sub-domains, or any other site that is owned or operated by Merchandizing, Organizing, Recreation, Electronic (MORE) Ventures OPC which is identified as participating in the Program.
3. “moreventures.store Store” is defined as a website that functions as an online store where the moreventures.store products and services are available for searching, viewing, and purchasing.
4. “moreventures.store products and services” are defined as products and services displayed in the moreventures.store Store.
5. “Client” is defined as a person representing a business entity (corporation, partnership, one-person corporation, sole proprietorship, individual, or any other known business structure) who has opted to avail of membership at moreventures.store and/or moreventures.store Store by completing the Client registration process in moreventures.store.
6. “Client's moreventures.store online account profile” is defined as the digital information Client uses to access Client's control panel and membership privileges at moreventures.store.
7. “Client's moreventures.store online business profile” is defined as Client and Client info displayed in moreventures.store indicating Client's name, contact information and other relevant business information and preferences.
8. A Building Others’ Ventures Agent (“BOVA”) is defined as Independent Contractors with a legal agreement with Merchandizing, Organizing, Recreation, Electronic (MORE) Ventures OPC, and are accorded privileges and rights to
a)access, manage, maintain, market, publish, and sell moreventures.store products and services;
b)access, manage, maintain, market, publish Client's moreventures.store online business profiles;
c)provide pre-sales, sales, and post-sales support to Clients, manage, maintain, market, publish, and sell Client's products and services at the moreventures.store store and/or directly to the Client's customers
9. “Client Package” is defined as a collective and comprehensive description of the collection and/or BOVA or the MORE Ventures collaboration of products and services that Client can buy from the moreventures.store Store.
10. A “payment gateway” is defined as a legal online or offline method of sending and receiving payments used by the Company, to receive payments from Clients for purchases made at the moreventures.store Store.
11. A “payment option” is defined as a legal online or offline method of sending and receiving payments used by the Client to receive payments from their customers for purchases, and/or used by the BOVA to receive payments from their Client's customers for purchases.

moreventures.store BUSINESS BUILDING PROGRAM PARTICIPATION REQUIREMENTS:
FOR CLIENT
1. He has to be the owner, part-owner, or an authorized representative of a registered business under the category of Sole Proprietorship, Partnership,One-Person Corporation or Corporation; or
2. An individual offering services as a freelancer, practicing professional, or Independent Contractor;
3. Had already published an online profile at moreventures.store;
4. The status of your published online profile at moreventures.store is not Suspended or Terminated;
5. Had given his consent to electronically receive and access, via email or via Client control panel or other electronic means as indicated by the moreventures.store policies, all correspondence for the services provided under this Agreement that the Company would otherwise be required to provide to you in paper form;
6. Had given his consent to electronically receive and access, via email or thru Client control panel, all correspondence for the access, management, maintenance, marketing, publishing of the Client sales, account Information, and pre-sales, and post-sales services for his accounts as a Client provided under this Agreement, that we would otherwise be required to provide to you in paper form;
7. He has satisfied the minimum hardware and software requirements specified below to access and retain the records and notices provided electronically, as follows:
i. A valid moreventures.store email address;
ii. A valid secondary email address;
iii. A computer system that operates on a platform like Windows, Mac, Linux, or mobile phone; environment or better, such as but not limited to a desktop PC, laptop, tablet,
iv. A connection to the Internet;
v. Current Versions of the software, browsers, plug-ins or other computer applications and programs identified at moreventures.store (users utilizing other browsers may experience compatibility difficulties); or mobile app that accurately reads and displays PDF files, such
vi. A Current Version of a program as Adobe Acrobat Reader version 7 or higher;
vii. A computer or device and an operating system capable of supporting all of the above; and
viii. A printer to print out and retain records and notices in paper form or electronic storage to retain records and notices in an electronic form. “Current Version,” means a version of the software that is currently being supported by its publisher. The Company may change these requirements from time to time and will update this document accordingly.; and
8. He should retain a copy of all of the records and notices which were sent electronically.

moreventures.store CLIENT PACKAGE GUIDELINES:
1. SEARCHING FOR AND CONTACTING BOVA:
a) Option A - BOVA will approach your business
i.A BOVA will approach you and ask you to fill up a Client Consent for Publication of Business Information form.
ii.Fill up the Client Consent for Publication of Business Information form and indicate the name of the BOVA who approached you as your BOVA.
iii.BOVA will forward the form to MORE Ventures office.
iv.MORE Ventures staff will verify the information on the form by contacting you.
v.Once information on the form is verified, MORE Ventures will assign the BOVA indicated on the form to you and your business.
b)Option B - You search for a BOVA on the moreventures.store listings
i.Create a user account at moreventures.store by registering as a Client.
ii.Login to Client's account and creating a basic online profile that indicates the type of services needed by Client from the BOVA.
iii.Search for a BOVA using the search feature of the moreventures.store, wherein a list of existing BOVA would be displayed containing information about the BOVA.
iv.A proposal from an BOVA may also be sent to Client.
v.Prior to choosing an BOVA to handle Client's moreventures.store account, view and read information about the BOVA using their online business profile at moreventures.store of BOVA. moreventures.store. Be aware of the specific skills of the various BOVA for each moreventures.store as detailed below:
2. BOVA for good and tangible merchandize;
3. BOVA for services and intangible products and services;
i. Request for the services of an BOVA by using the contact form on moreventures.store. BOVA's online business profile and/or email us at moreventuresofc@gmail.com. Client is required to specifically indicate on the contact form the full details of the project(s), task(s), concern(s) and issue(s) that Client would be requesting from BOVA. Request coursed thru verbal means or project(s), task(s), concern(s) and issue(s) which were indirectly conveyed shall not be honored by the Company as a valid request.
ii. A single person or multiple persons may be hired to provide BOV Services to Client and Client's business as a BOVA ;
4. CHOOSING A BOVA:
a) Consider and study the proposals from BOVA, the online profile information and credentials could be used as a basis of their good fit and ability to complete tasks within the Client’s time frames;
b) Consider BOVA's office hours and committed response time.
c) To inform BOVA that Client's web-based business, product, or service should be categorized as “Private Adult Viewing Only” on account of or for;
i. promoting or containing sexually explicit materials or content;
ii. promoting violence or containing violence-inclined materials or content;
iii. promoting or containing any type of adult content;
d) To inform BOVA that Client is representing the business of minor(s), or children under the age of 18, and that they have secured the consent of one of the minor's parents or legal guardians in representing the minor as to dealings with BOVA;
e) To inform BOVA that Client's web-based business, product, or service;
i. promote or contain libelous or defamatory materials or content;
ii. promote discrimination, or employ discriminatory practices, based on race, sex, religion, nationality, disability, sexual orientation, or age;
iii. promote or undertake illegal activities;
iv. be directed toward harming children under 13 years of age or violating any child protection laws;
v. include any registered trademark, service mark, or a variant or misspelling of a trademark or servicemark of any existing business, person, or entity in any domain name, subdomain name, or in any username, group name, or other identifier on any website ; or
vi. otherwise violate intellectual property rights.
5. ENGAGEMENT AS moreventures.store BOVA OF CLIENT
a) The chosen BOVA shall provide Client access to the following documents/agreements upon engagement, taking into account their Client's preference/s in using either the paper version or the online version of the documents/agreements, these are.
i. moreventures.store Privacy Policy;
ii. moreventures.store Terms and Conditions of Use;
iii. MORE Ventures Building Others’ Ventures Agent Agreement;and,
iv. MORE Ventures Building Others’ Ventures Agreement for Clients.
b) Upon engagement of the services of the BOVA, the Client is legally presumed to have read and acceded to the terms and conditions stated in the various policies and agreements incorporated in the aforementioned documents. Likewise, on the engagement of multiple persons, the Client is legally presumed to have read and acceded to the terms and conditions stated in the various policies and agreements for each BOVA.
c) Client may only engage the services of a BOVA for a specific moreventures.store product or service, If Client desires to engage the services of only one BOVA for more than one moreventures.store product or service, Client shall be billed separately for the services of the BOVA for each moreventures.store product or service that Client maintains an account.;
i. Client shall be given a quotation by the BOVA for the full and specified details of the project(s), task(s), concern(s) and issue(s) that the Client requested from BOVA on the contact form. Requests coursed thru verbal means or project(s), task(s), concern(s) and issue(s) which were indirectly conveyed shall not be honored by the BOVA and the Company as a valid request and shall not be included in the quotation as services to be rendered and/or products to be purchased. In the event that Client and/or BOVA is unable to communicate directly on the contact form, due to but not limited to the unavailability of an Internet connection, or a secure device to access Client or BOVA's moreventures.store account, Client and/or BOVA is required to upload and submit a screenshot or digital image/photo or recorded video of the BOVA's quotation and the Client's receipt of the BOVA's quotation on the contact form at the earlier possible time as documentation of the offline or informal quotation.
d) Client, BOVA, and the Company mutually acknowledge that, upon engagement by the Client for any type of services rendered at moreventures.store, the moreventures.store BOVA is not considered as employee of the Company, nor of the requesting Client. Hence, contractual relationship ensues between and among the parties; and will not be treated as an employee-employer relationship with respect to this Agreement for tax purposes or otherwise.
e) Client acknowledges that the services offered by the various BOVAs at moreventures.store differ from each other. Only the particular services offered and allowed by their agreement with the Company shall be upheld. It is Client's responsibility to engage the appropriate BOVA based on their offered and allowed services and on his Client's specific requirements. Client must assign a representative or contact person to be responsible for all correspondence with the Client with respect to the access, management, maintenance, marketing, publishing,
i.pre-sales, sales, and post-sales of moreventures.store products and services geared or aimed for the growth of Client's web-based business;
ii.Client shall submit a completed Client Consent for Publication of Business Information offline or online form inclusive of the following information:
1.Client's business information; and,
2.Type and details of Campaign for BOVA to undertake, if available, other details such as requirements, materials available, timelines, tasks, expected results, specific for each BOVA. Should an offline form be submitted, the contents of the offline form should be encoded in the online form by the BOVA or the moreventures.store customer support staff, at the soonest possible time, and a digital copy of the offline form be uploaded into the Client's profile.
f)Client shall authorize BOVA in assuming the privileges and rights to access, manage, maintain, market, publish, and sell moreventures.store products and services geared or aimed for the growth of Client's web-based business.
g)Client may authorize BOVA in assuming the privileges and rights to access, manage, maintain, Client's online product catalog to market, publish, and sell Client's products and services geared or aimed for the growth of Client's web-based business.
h)Client shall choose a basic package from a specific moreventures.store;
i)Client shall be given a basic package to be presented by BOVA inclusive of the following:
i.All the features of a basic package at specific moreventures.store; “dry-run package” from BOVA as training module of both Client and BOVA of use of moreventures.store website/app.
ii.Free listing of Client’s products and services on moreventures.store wherein the price listed for each would be no less than the price indicated by BOVA or Client for the item and may or may not be increased by at least 1% of the sale price by the Company to cover administration costs of the basic package.
iii.Free use of moreventures.store online and offline payment methods for receiving of payment for products and services ordered by online users of moreventures.store.
iv.Weekly reports of sales of products and services of Clients on moreventures.store
v.Remittance of payments made by online users on moreventures.store on Client’s products and services on a schedule basis as shown in the clause for SALES REMITTANCE SCHEDULE.
j)Client shall be given the option to choose the subscription package wherein Client is required to send monthly payment at moreventures.store via their chosen payment method for use of the moreventures.store as its online store.
k)Sufficient instruction to ensure proper use of the basic package to fulfill Client's Campaign and/or business needs. Each BOVA has its own basic package for each Client.
l)Client shall clearly indicate the name of the person or legal entity he wants to stand as the payee in the Official Receipts to be issued by the Company to Client for payments made by Client at any moreventures.store Store, including those pertinent details required in the Official Receipt. Any payments made to BOVA outside of the moreventures.store Store shall not be a valid purchase from the moreventures.store Store and would not be issued an Official Receipt by the Company; and,
m)Client shall provide BOVA any materials in digital form that would help BOVA in fulfilling the assigned Campaign. Such materials are to be uploaded only on Client's moreventures.store online account.
n)Client may opt to use the moreventures.store Store for the sale of Client's products and services, wherein BOVA shall have the responsibility of creating and maintaining Client's moreventures.store Store account, including promotion, monitoring sales, and generating sales performance reports of Client's products and services offered for sale at moreventures.store Store. Such additional responsibility given to the BOVA may or may not incur additional cost to Client's basic package. Should Client opt to add this to Client's basic package, Client has the option to receive payment for sales generated via moreventures.store Store's payment gateways, via Client's BOVA's payment option, or directly to Client's payment option. However, Client's customers can only be assured of protection of their purchases under the moreventures.store Store's policies and receive an Official Receipt from the Company, if and only if Client's customers purchases Client's products and/or services via moreventures.store Store. Company shall not be liable to Client, Client's BOVA, and Client's customer for any orders and sales made outside of moreventures.store Store.

12.SALES REMITTANCE SCHEDULE
a)Definition of Terms:
i.“Sale Price” is the price given by the Client’s BOVA or the Client for the Client’s product or service to be sold at moreventures.store;
ii.“Client Item” is the product or service that Client has allowed BOVA and the Company to be sold at moreventures.store which can be categorized as any of the below:
1.Tangible item, i.e. merchandize, food, or any tangible product or item
2.Human service or skills to render
3.Rental of property or other asset
4.Digital asset or item, i.e. an app, a digital document or template, a digital image, etc.
iii.“Completion of Sale” or “Completed Sale(s)” is the full payment of any online buyer (“OB”) on any Client Item at moreventures.store using any of the payment methods available at moreventures.store.
iv.“Reservation” is the partial payment made by any online buyer (“OB”) on any Client Item at moreventures.store using any of the payment methods available at moreventures.store to ensure the reservation of the item for a particular day or time.
v.“BOVA Commission” is the amount that Client and BOVA have agreed to be awarded to Client’s BOVA upon completion of sale of product or service of Client at moreventures.store
vi.“Payment in Escrow (PiE)” is the amount paid by any online buyer (“OB”) for any Client Item at moreventures.store that is either a human service, rental of property, or any item that is paid in advance prior to delivery of Client of Client Item. The Company will hold any payment made in escrow until Client has delivered the Client Item in full to the buyer.
vii.“Remittance Amount” is the total amount indicated in the Remittance Report to be awarded to Client according to the Remittance Schedule of release of funds.
viii.“Remittance Report” is the sales report prepared and given by the Company to Client and to BOVA for all completed sales of Client’s items at moreventures.store for the day/week/fortnite/month.
ix.“Remittance Schedule” is the regular day and time when Company will provide Client a Remittance Report for perusal and checking for any errors.
x.“Remittance Method” is the method by which Client would prefer to receive remittance from Company, i.e. GCash, Maya, Bank Transfer, Manager’s Check that Client has indicated in their moreventures.store account profile.
xi.“Money Transfer Fees” is the fee that Client’s Remittance method charges for transfer of funds from Company’s account to Client’s account.
a)Client is required to check the Remittance Report and inform Company within three (3) days of any errors in the report. Failure to inform the Company of any errors within three (3) days is a signal that Client has accepted the Remittance Report as true and correct.
b)The Sales Remittance Schedule is only for use with Client Items under the Completion of Sale category. Any amount that is considered Payment in Escrow (PiE) shall not be included in the Remittance Amount and the Sales Remittance Schedule.
c)Completed Sales received from 12:01 am to 11:59 pm of the current day, shall only be marked as completed if the full amount of the Client’s Item is paid via moreventures.store thru any of the following methods
1) GCash funds transfer;
2) Maya funds transfer;
3) Verified bank transfer; or
4) Cash payment at Company’s physical office’s cashier. Total gross amount of completed sales via the above-mentioned payment methods will be remitted to Client at the end of the next business day, Mondays for Sunday sales.
d)Completed Sales paid via credit card at moreventures.store received from Saturday 12:01 am to Friday 11:59 pm each week shall only be marked as completed when the amount has been remitted by the Credit card company to Company’s corporate bank account. Total gross amount of completed sales via credit card payment of moreventures.store online users will be remitted to Client every end of the month. If the end of the month falls on a Sunday, the amount shall be remitted on the next day, Monday.
e)Total gross amount of remittance due to Client shall be based on the formula below:
Total Gross Amount of Remittance to Client = Total Completed Sales less
money transfer fees to Client’s account and any taxes due
f)The funds transfer transaction slip, deposit slip will serve as Company’s proof of transfer of funds to Client’s preferred Remittance Method.
g)It is the responsibility of Client to ensure that their preferred Remittance Method is capable of accepting the Remittance Amount upon transfer. Should Company be unable to transfer the Remittance Amount to Client’s preferred Remittance Method, any additional transaction fees that Company will pay for repeating the Remittance process to Client’s preferred Remittance Method will be deducted to the Client’s Total Gross Amount of Remittance.
h)All deductions incurred on the Total Gross Amount of Remittance to Client shall be included in the Remittance Report of Company to Client
i)Should Client’s preferred Remittance Method be unavailable or offline on the scheduled day of remittance to Client, Company shall transfer the Total Gross Amount of Remittance to Client on the next available working day.
j)Should there be any form of delay in the crediting of the Total Gross Amount of Remittance to Client by Client’s preferred Remittance Method, Company shall not be liable for such delays.
13.MAINTENANCE OF moreventures.store BOVA SERVICES
a)The Client is required to evaluate BOVA's performance on a quarterly or yearly basis as an BOVA by adding a testimonial, review or rating on BOVA's online business profile at moreventures.store.
b)The Client is required to purchase premium moreventures.store products and/or services as additional features if they wish to upgrade their account from the basic package.
c)The Client is required to specify payment terms for “Negotiate For Price” items using the “Transparent Bidding Process” (TBP) provided that the negotiated price for each item is greater or equal to the Client’s initially stated starting price for the given item plus 2% markup of the Company.
d)The Client is required to clearly indicate to the BOVA and on Client's moreventures.store online account, details of any registered trademarks, service marks, domain names, subdomain names, or other intellectual property protected materials of Client that are to be labeled as protected intellectual property at any moreventures.store or moreventures.store marketing materials.
e)The Client is required to use the discussion boards at moreventures.store in communicating with BOVA on concerns and issues regarding BOVA's services or for additional tasks
f)In the event that Client is unable to be requested from BOVA to communicate directly on the discussion boards, due to but not limited to the unavailability of an Internet connection, or a secure device to access Client or BOVA's moreventures.store account, Client and/or BOVA is required to upload and submit a screenshot or digital image/photo or recorded video of the correspondence between BOVA's and Client's on the discussion boards at the earlier possible time as documentation of their correspondence within the moreventures.store BOV Program.
g)The display, or use of links or content in connection with any spyware, malware, virus, worm, Trojan horse, or other malicious or harmful code, or any software application not expressly and knowingly authorized by users prior to being downloaded or installed on their computer or other electronic device are not to be included on Client's account at moreventures.store, or forwarded as materials to BOVA and vice versa.
h)The Client has the option to retain BOVA's services as an exclusive BOVA for Client's business upon request to the administrators of moreventures.store using the “Request for a VIP Subscription” form, if and only if the BOVA's status on their moreventures.store online business profile is flagged/indicated as “Available for Exclusive Arrangements”, wherein the request will be processed as a “Request for a VIP Subscription”. BOVA, may
i)The Client, in addressing his concern relating to the services of the assigned BOVA must submit a completed Complaint Form at moreventuresofc@gmail.com email of the Company for any complaints in the services of their assigned BOVA or purchased moreventures.store products and services.
j)The Client is responsible for ensuring the accuracy, completeness, and appropriateness of, materials posted on their moreventures.store online business profile (including all business, product and services descriptions and other products/services-related materials and any information included within or associated with Client's moreventures.store online business profile;
k)The Client is responsible for using the Content and the materials on or within Client's moreventures.store online business profile, in a manner that does not infringe, violate, or misappropriate any of the Company's, their BOVA's rights or those of any other person or entity (including copyrights, trademarks, privacy, publicity or other intellectual property or proprietary rights); The Client is required to assign preferred delivery services for their products and/or services offered in the moreventures.store Store. In the event that Client prefers to assign a delivery service under an internal arrangement, Client is required to have said delivery service, affix their signature on the Delivery Service Agreement available for download from moreventures.store. Client is also required to inform said delivery service of the moreventures.store Store policies with regards to delivery services with internal arrangements with Clients. Client is also required to inform said delivery service of the role of the BOVA in the delivery service with internal arrangement process.

14.DURATION OF BOVA SERVICES
a)Upon purchase of any premium moreventures.store products and services, including including BOVA subscription, BOVA services, “Negotiate for Price” items, the Client will be billed on a regular basis for the items' subscription or maintenance fees.
b)If the Client is unable to post payment for a billing statement, after the “3rd Notice of Unpaid Billing Statement” is sent to Client via email, all the concerned premium content posted, such as but not limited to, images or graphics, uploaded files, marketing materials, audio, video, ratings, reviews, testimonials, correspondence, and/or “Negotiate for Price” items will be temporarily suspended from being displayed or deployed on the moreventures.store system. Premium services given by the assigned BOVA shall also be temporarily discontinued. It is only upon the payment of the full amount, as reflected in the most recent billing statement, that all temporarily suspended services shall be reinstated within two (2) working days.
c)Client may cancel the billing at any time. However, upon cancellation, the premium account at moreventures.store, including all the premium content posted, such as but not limited to, images or graphics, uploaded files, marketing materials, audio, video, ratings, reviews, testimonials, and correspondence, will also be automatically deleted from our system and would not be available for recovery. Premium services given by the assigned BOVA shall, as a contractual consequence, be discontinued and,
d)If Client cancels the billing for BOVA premium services or “Negotiate for Price” items, he will not receive a refund or credit for the fees already paid.

15.REFUNDS AND EXCHANGES POLICY.
For Company's Products and Services
a.Client is required to immediately file a trouble ticket within twelve (12) days upon receipt of purchased product or service using moreventuresofc@gmail.com in instances wherein a BOVA is unable to fulfill any of the specifically indicated full details of the project(s), task(s), concern(s) and issue(s) that Client requested from BOVA upon engagement. Request for support coursed thru verbal means or project(s), task(s), concern(s) and issue(s) which were indirectly conveyed shall not be honored by the BOVA and/or the Company as a valid request for support and shall not be viable for correction or fulfillment as services to be rendered and/or products to be purchased. In the event that Client is unable to immediately file a trouble ticket, due to but not limited to the unavailability of an Internet connection, or a secure device to access Client's moreventures.store account, Client and/or BOVA is required to upload and submit a screenshot or digital image/photo or recorded audio or video of the correspondence between Client and BOVA on a trouble ticket at the earlier possible time as documentation of their correspondence within twelve (12) days upon receipt of purchased product or service.
b.The contents of the Trouble Ticket, as filed or submitted by the Client shall be checked by the appropriate personnel of the moreventures.store, as well as the site where the product/service was purchased from. Should there be a finding that the BOVA was not able to deliver the purchased item(s), appropriate measure/s shall be adopted, including the conduct of conciliatory mediation between the Client and the BOVA for the full delivery of the purchased item(s).
c.BOVA shall be given three (3) days to answer or reply to the trouble ticket as referred herein. Should BOVA be found to have not completely fulfilled any of the details of the project(s), task(s), concern(s) and issue(s) that Client requested from BOVA upon engagement, BOVA shall be given the opportunity to communicate with Client the cause for not fulfilling the details of the request and the actions to be pursued in completing the details of the request. In case the BOVA is still unable to complete the details of the request after the subsequently agreed deadline, Client may choose any of the options available in the moreventures.store
d.Refunds and Exchanges Policy; For Client's Products and Services
i.Client's customer is required to immediately file a trouble ticket within one (1) day upon receipt of purchased perishable products or emergency services using moreventuresofc@gmail.com, or seven (7) days upon receipt of purchased non-perishable product or non-emergency service using moreventuresofc@gmail.com, in instances wherein a Client is unable to fulfill any of the specifically indicated full details of the order that Client's customer requested from Client and/or items ordered were found defective or not delivered. Request for support coursed thru verbal means or order details which were indirectly conveyed shall not be honored by the BOVA and/or the Company as a valid request for support and shall not be viable for correction or fulfillment as services to be rendered and/or products to be purchased. In the event that Client's customer is unable to immediately file a trouble ticket, due to but not limited to the unavailability of an Internet connection, or a secure device to access Client's customer's [HoPeS Up Website's] account, Client and/or BOVA is required to upload and submit a screenshot or digital image/photo or recorded audio or video of the correspondence between Client and Client's customer on a trouble ticket at the earlier possible time as documentation of their correspondence within seven (7) days upon receipt of purchased product or service.
ii.For Client's goods and services purchased at moreventures.store Store, Client shall be given one (1) day or 24 hours to answer or reply to the trouble ticket as referred herein, should Client be found to have not completely fulfilled any of the details of the order; and Client's customer is not allowed to file a trouble ticket for free products and services rendered by Client unless a complaint is filed under any of the categories in the “Cause for Concern” list available at moreventures.store.
iii.For Clients who have products and services offered for sale at moreventures.store Store, for goods and services that are delivered under an internal arrangement, wherein the product or service was purchased at moreventures.store Store, only items that were not delivered shall be refunded to the buyer. Refunds shall be processed according to the moreventures.store Store policies.
iv.Company shall not entertain requests for returns or exchanges for Client's goods and/or services purchased outside the moreventures.store Store. Company shall also not be held liable for requests for returns or exchanges for Client's goods and/or services purchased outside the moreventures.store Store.



15.OTHER TERMS AND CONDITIONS.
MODIFICATIONS:
a.This document contains the entire agreement between the parties with respect to the subject matter hereof, and supersedes and replaces any and all prior or contemporaneous agreements and understandings, whether written or oral, concerning said subject matter. No provision of this Agreement shall be deemed waived, nor may this Agreement be amended or otherwise modified, except by a writing signed by all of the parties hereto.
b.The Company may modify any of the terms and conditions contained in this Agreement (and any other Documents relating to or applicable to this Agreement, at any time and in our sole discretion by posting a (a) a change notice, (b) revised agreement, or ( c) revised documents on the moreventures.store site or by sending notice of such modification to the Clients and BOVA by email thru to the respective and currently associated email address. Any notice of change/s in the terms and conditions of this Agreement or pertinent documents by email will be deemed received on the date specified in such email, and considered as binding and with legal effect after the lapse of two (2) working days reckoned from the date the email was sent;
c.Modifications may include, changes to the Client Consent for Publication of Business Information, moreventures.store Privacy Policy, moreventures.store Terms and Conditions of Use, moreventures.store Business Building Agreement, moreventures.store BOVA and documents. Agreement, payment procedures, and other Program requirements
d.IF ANY OF THE MODIFICATION IS UNACCEPTABLE, THE ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. HOWEVER, THE CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THE EFFECTIVE DATE OF ANY OF THE MODIFICATION WILL CONSTITUTE YOUR LEGAL ACCEPTANCE OF THE CHANGE.
e.Changes. Modification and/or alteration as to the terms and conditions of this Agreement shall not be considered with legal effect on account that it was given as an advice, or was received as suggestions, guides or sales aids without the corresponding requirement that it is in writing, signed and duly notarized.
f.FORCE MAJEURE: The parties hereby agree that they shall not be held liable for their failure to comply with their respective responsibilities hereunder if such failure is due to force majeure or a fortuitous event such as but not limited to (a) acts of any government body, (b) war, (c) insurrection, (d) sabotage, (e) embargo, ( f) fire, (g) flood, or (h) any other natural calamity, strike or any labor disturbance, breakdown of machinery or equipment or malfunction of software, corruption of data, interruption or delay in transportation or delay in telecommunications and other analogous circumstances.
g.ASSIGNMENT:
i.Neither of the parties shall, without the consent of the other, assign or transfer this Agreement or any rights or obligations under this Agreement
ii.In the event of the transfer or sale of all or substantially all of the assets of Company’s business, this Agreement may be signed or transferred by the Company to a successor-in-interest, provided that this Agreement shall be binding and c ontinues to inure to the benefit of both the successor-in-interest of Company’s business;
iii.As a legal consequence thereto, successor-in-interest shall discharge and perform all of the obligations of Company under this Agreement.

h.GOVERNING LAWS AND OTHER PROVISIONS:
i.This Agreement shall bind and inure to the benefit of the parties hereto and their successors-in-interest and their assigns.
ii.This Agreement shall be governed by Republic Act No. 8792, known as the Electronic Commerce Act of 2000, the Philippine Labor Code, and the laws of the Republic of the Philippines.
iii.Any and all claims or disputes between the parties hereto arising out of, or in any manner concerning, this Agreement shall be exclusively arbitrated and/or litigated in a court located in or having jurisdiction over the location of the main office of the Company within the Republic of the Philippines.
iv.If one of the parties are located outside the country, said party agrees to submit to the laws of the Republic of the Philippines, with regards to the settling of disputes and/or claims.
